Could you please clarify how this is a strategy of SPQ that would benefit them?

Why would they want to consolodate well past companies like NOT. They could only do a 1:2 exchange and have close to the same # of shares like them. Why go so extreme? Why can't the BOD share a purpose for this over bold proposal? Especially when it's a repeat!

Also some have suggested that then SPQ they could leverage more finances, but to me isn't that like fudging the numbers just to borrow more? Feels like American accounting to me. Then the shareholders (like taxpayers) take it on the chin.
