If someone like Intel buys this and keeps it exclusively for themselves given what we know about the capabilities of POET they will take over the market. Can any one company be allowed to do this?

Given the pay grade at the DOJ, I would doubt the existence of anyone there who is actually capable of scrutinizing the implications of Intel buying up this small company (before it's too late), even if the offer itself is so large that red flags unfurl and all possible alarms should be sounding. After all, look at how they allowed Adobe to create a monopoly in graphic applications, just because they were preoccupied with Microsoft at the time.
