In answer to yout point 1, they need not totally divest but become a partner in resulting venture.

And for point 2, the new corporation need not lay off most of the present workers while to already existing company pensioners the Ontario government could assume part of that baggage.

These would go a long way to smoothing things out. Mind you I have no privy as to the possibilities. Am just guessing what might be.
