Your post makes me think of the possiblity that the BOD concluded not to have majority rule because...... the opposition has been buying the stock over a long period and if they hold the majority they could do the company in. I mean if hostile entities could infiltate the message boards wouldn't it make the same sense (or better sense) to infiltrate the list of shareholders who can vote to put in their own people to do their bidding?
