I'm of the opinion that the spinoff is strictly for the purpose of raising cash to advance the BC properties without further dilution to the Peru properties.

With respect to the vote - if it were of significant urgency, there is nothing to preclude SLI from having a general meeting solely for that purpose. I don't see why they would have to delay it till the AGM. JMO.
