I agree with you CDN on most of your points but I dont think we have any indication that the voting for the spin off company will have to wait for the AGM. If we had to vote on a buy out offer I don't think we'd wait for another AGM, therefore I think management could call for a vote any time they wished. As far as I know, it's only the major share holders that vote anyway. Correct me if I'm wrong.
