Message: Confusion re 100:1 spolit

There is much confusion about the announced share split of 100:1. The Board of Directors realized that there would be a significant administrative savings involved by eliminating the small odd lot shareholders holding less than 100 shares. This matter was discussed in the Management Information Circular dated September 14, 2012. This matter was also approved by the shareholders at the Annual Shareholder Meeting in Toronto on October 25, 2012. The facts of the situation involve a two-step process as follows:

1. First, with a very legal although a very rare process, they will first consolidate all the outstanding shares 1 share for each 100 shares owned. As an example, where a shareholder holds 75 shares before the consolidation, they will own only .75 shares (a fractional share of less than 1 whole share) following the consolidation. For a shareholder holding 7,500 shares before consolidation, they will own 75 shares after the consolidation. Probe will then buy all the "fractional shares" for cash and cancel them following the consolidation.

2. Second, in order to restore the original number of shares held by shareholders of greater than 100 shares it was necessary to effect a stock split of 100 for 1. As an ewxample. where a shareholder's holdings were reduced from 7,500 to 75 in the consolidation, they will now own 7,500 shares after the 100:1 split. This is exactly the same number of shares held before the consolidation.

CONCLUSION: There will be no effect for shareholders holding more than 100 shares.
