I would agree except they would have a fiduciary responsibilty to both the corporation and shareholders.  I would think it hard to make that argument in this situation. This other company was started a year ago way before the Chapter 7.  FF knew EDIG needed money and had responsiblity to not give it away.  The new BODs are potentially equally culpable.
