I discussed this once with Fred.

Renee lives in FL and attends the BOD meetings as does Eric telephonically. This saves EDIG travel expenses etc. Eric does attend the SHM's to act as secretary for the corporate governance portion of the SHM, with Fred reading to legal piece to open the meeting. This was last Sept. RP used to read it with Fred filling the secretary roll, yet Eric still attended the Nov-2009 event. He was appointed just after the Sept-2008 meeting.

There is no need for a BOD member who heads up the audit committee to attend SHM's, thus I was wrong to suggest she should step down due to not being there.

Ms. Warden joined e.Digital’s board of directors in 2005, where she currently heads the company’s audit committee. Renee Warden joined the Company as Accounting Manager in 1991. In 1997 Ms. Warden was appointed Controller and Corporate Secretary for the company and in 2003 was promoted to Chief Accounting Officer and Secretary. From 1993 to 2003 Ms. Warden also held the positions of Chief Accounting Officer, Secretary and Director of Human Resources for American Technology Corporation. In May of 2005 Ms. Warden resigned from her position as chief accounting officer and corporate secretary to take a financial position with another company. Ms. Warden obtained a B.S. degree in business accounting from the University of Phoenix in 1999.

So ya see, MarDee has picked up Renee's accounting role.

I wonder why we never discussed Renee's salary and compensation package? hmmmm...lol.
