The annual meeting is usually when companies conduct such business as share authorization, along with voting for board members.
To wait until they are in dire need, not to mention the cost associated with having shareholders issued proxies, would be silly.
This is one of the purposes of an annual meeting.
Should IFE dry up they might need those shares sooner than later. Right now IFE is their source of revenue, and while that continues to grow, there is uncertainty.
It is the right thing for management to request. They don`t have to issue any of them if they are not needed.
