The board should meet with the president and simply fire him with cause and state that the termination awards were illegally generated ib they breached the fiduciary responsibility of the executive and board in its responsibilitie to all shareholders.

Next they should announce the plan to conduct and extensive and thorough investigation using a credible forensic accounting team such as Rosen and Associates (assuming thheir is no conflict of interest with the ex cfo) to identify the existence of any wrong doings by the board and executives and if they are found to exist the intention to fully prosecute and demand retribution for their actions.

Those two steps would send a clear message of the new board's desire to represent the interest of all shareholders.
