Since Calmly never explained or substantiated his claim that,

" Dave's "incentives" are not identical to ours, and they may not be optimal for us independent shareholders?",

I wondered if, despite those laws and regulations that are supposed protect us shareholders, would it still be possible for management to not disclose ALL significant deal making information so that it could somehow benefit more from a buyout at the expense of us shareholders?

Is there any evidence that management could likely "get away", or has gotten away with this sort of thing?
