"The transaction" could simply be paying BLG for their legal services....I found a PDF file that named BLG as the company's legal counsel back in 2013.  Perhaps $300K is simply for services rendered?  I know that doesn't answer the question of why it lists the country as US.  But perhaps BLG has the shares directed to a US trading firm or something?
