BB, as I consider this, I question why POET would agree to these terms if they could alternatively pay for the video themselves, affect a significant increase in sp, and then sell shares through the ATM at a higher value than MMCAP was provided.  

I'm not critisizing POET's strategy.  I don't know their strategy.  But, since you asked for thoughts, I'm sharing my confusion with the strategy you propose.
