So the end result is that this news is not considered material to the company (POET).  If it was TM would not have been able to talk about the deal closing in his webcast. The closing of the deal is however material to the debenture holders. Whether we agree on this or not that is the apparent call by the TSX. I was not advised by POET. I was advised by the TSX trust that is responsible for both the distribution administration of funds associated with the debenture and the management of the debenture transactions.

So I believe that the NR statement made re mutually agreeable was given in good faith and suggests that the result is good for both companies. Clearly there is a bigger picture to consider and those details are most definitely material.
