The Share Sale Agreement included an Earn-Out provision which provides for additional consideration in the amount of US$4 million to be paid to the Company in the event that the audited revenues of DenseLight for the year ending December 31, 2019 were at least US$9 million with gross margins comparable to prior periods. At the present time, the Company does not anticipate that DenseLight will meet this revenue target
