Dash one of the agreements that is part of the LOI is for strategic co-operation. As BT said the people at DenseLight will still be working on active Optical Interposer devices. This would be part of the co-operation agreement. I have no doubt that POET will retain the design people that they need within the company. Remember that all the work that took place on the very complicated GaAs platform was performed by a small handful of people at contract fabs.  What they have with DenseLight will have much greater dedication to the Optical Interface platform through the supply agreement.

I expect that there is a comprehensive library that allows a technology transfer to whatever fab they use and the design people will have access to the design rules.
