As a canadian issuer, you are not entitle to sell/advertise your offering in the US unless you are registered within the SEC.

POET is currently qualifying is offering of 50M under the SEC regulation. This is what FORM F-10 and F-X are designated for.

At the end of the day, there could be interest in the US to acquire some form of participation in POET or POET could be willing to diversify its investor base.

What form of participation/offering/amalgation/etc will it be? Your guess is as good as mine.

Finally, as there are legal and accounting fees associated to an SEC registration (plus that going forward POET will have additionnal disclosure requirement) I don't think that they would go through this registration process just in case something shows up.
