I also noticed another thing in the sentence quoted in my last post. The offer from Party B is listed as an "aquisition proposal" where the II-VI offer is listed as a "Merger Agreement".

Interesting. I seems that party B wants a straight aquisition where II-VI wants some sort of merger.
