consider, the August 4th filing is a notice of intent to issue shares, not necessarily a closed PP.

if a private foreign issuer (what POET is, from the US regulatory perspective) can act under American SEC Rule 415, the upcoming Canadian 44-101 prospectus (if not withdrawn) could very well just be a shelf registration, in preparation for uplisting to 'DAQ very quickly.

we'll know more when we see the actual prospectus filed on or before August 17th.

Sometimes current market conditions are not favorable for a specific firm to issue a public offering. For example, suppose the housing market is heading toward a dramatic decline.
