2 do you want to allow shares to be given to Wyloo for the repayment of the loan. Absolutely not!!! the answer to 2 should be no. This would allow Wyloo to accumalte more shares and increase its %. The repayment of the loan should be deducted from the Check that Wyloo gives to Noront for the purchase.

3 call your broker and give him your intentions to retain all or in part of your shares

2 is the most important vote out of all, of course just my opinon
