I am not a Lawyer (liar) but wouldn't that second vote be illegal, as the first vote was defeated on a TOTAL VOTE results ....you cannot have a second vote on the (same or like) subject without it going also to a TOTAL VOTE (shareholder) referendum.

This should be brought to the attention of the ruling faction of the TSX venture exchange.
