I still don't buy it.  No one in their right mind would do a PP, paying more per share than they are currently worth.  Sure, you could place a higher price on options/warrants, but if you were to try and dilute the shares by issuing more common shares at a higher price than current SP, you better get a good deal on the printing of the stock certificates - you'll never sell them.
