 Yes,,,I think the scenario you put forth would be the best way. The new DE company  would probably trade close to the present price once the dust settles.

 Yet the new company with Windfall would now have fewer shares, hence more value IMO than we now are seeing from Noront for these properties. And then when the news should begin to roll in from Windfall and Burn't Hill, we'll get the rise we were expecting pre-DE

 Also with fewer shares,,,it would be easy to raise needed cash without too much dilution. And in all honesty, the new Windfall/Burn't Hill company should trade around 4 times the share price of Noront pre- DE because it now had 1/4th the shares
