I think you are forgetting that PTSC is half owner of the MMP. If the agreement did not exist PTSC could have sold licenses themselves, as they did prior to the agreement. The contract which the licensee holds was made in good faith. I do not see how any judge in his right mind would undo past licensing, if doing so would be detrimental to the licensee.

The only situation where I could see that happen is if there was proof postive that the company that was purchasing the MMP license was not acting in good faith when it made the purchase. That would be a difficult one to prove, IMHO, since I'm sure TPL claimed authority to make package IP offers with full authority to negotiate all the IP included in the package.
