so we tend to drumb up stuff just to write . a perfect example is putting microsofts committee stuff on here like its even close to PTSC.

It is a STANDARD audit committee authority, Microsoft was merely given as an example as to how and why PTSC's could authorize Baroni without it meaning there was any conflict.
