I'm not sure if this is what the Cleanser is getting at but the buy back was suspended directly due to the "blackout" or "trading restriction".  However, the NDA  did cause the blackout period.  The SEC prohibits insiders from trading while having knowledge that has not been disclosed to the public - evidently, this also applies to company buybacks.
