Good question! As regards to the vote structure at a shareholder meeting, we have here the best illustration that in order to control a public corp, one does not need 50 +1 % of the ballots. Let's be realistic here: Cliffs does have control of KWG with its 17,4%!!! Unless... the retail shareholders dare to send their voted proxies "en masse" to Management. Cliffs has about 112 000 000 votes. Let's say that the other 85 000 000 AGAINST votes will still vote aside Cliffs, Total: 196 000 000. So we need around 395 000 000 votes to pass a special resolution (66 2/3 %). And this means we need 588 000 000 shares represented at the meeting, that is around 95 % of the float! Mission impossible?!? (Your last shares count was about 66 000 000 and we have already 162 000 000 FOR votes, Total: 228 000 000. Still need 167 000 000.) Conclusion: Cliffs does de facto control KWG as regards to special resolutions. Am I right?
Some people seems to find a certain pleasure to bash Management as they bash their boss or as they used to bash their teacher or any authority! Here we sadly realize that those who put in an AGAINST vote (or not mailing back the FOR proxy) were, finally, putting in a vote for Cliffs. Their choice. Not mine. If I'm not with management, I sell. Period. Bye. If I believe in management, I take the time to read their stuff, cross the FOR square and mail it right away the next morning. Or cross the bridge to the meeting, shake their hands and show support.
Maybe it's time, goldhunter, to test the guts of the KWG supporters you have on your list and ask for signed proxies for the next meeting! This may not bar Cliffs from ask for ballot vote. But it may shake the room a little, and give some strenght to our management!
