Well it does take a lawyer to point these things out now....doesn't it. So the guy maybe didn't play by the book 100% of the time. Currently, that is just an accusation. Regardless. remember this is just a junior company trying to build value....not top heavy with a bunch of lawyers and C.A.'s.

My main points which you clearly missed are

1) these guys are choosing an opportune time to do this; you can't deny it's a touph market for all juniors right now

2) I've been burned before from a proxy battle, which resulted in a new very experienced and very expensive board, where their first order of business was to issues a load of stock options at the very low price....over and over again

3) You complain about a $175,000 salary for Peter....Look at the salaries of the NOT team....let that be a warning of things to come....my opinion of course

4) Besides a low share price....and some legal technicality; which your lawyer friend gladly disclosed, there's not much else to complain about. And, quite frankly, the legal issue sounds a bit blown up.

5) When I mention value; I'm talking the value that all here believe in.....it's why we are all here....I wouldn't be buying if our value was maxed out....rather, I buy because I recognize value where the market currently doesn't....probably the same reason you are invested

Honestly, I am invested in some 30 or so juniors. Many are experiencing what we are experiencing here. Because I see such enormous upside, this is one of my larger investments. I just think that it costs money to get rid of one board and costs extra to replace that board with another....that say they can do better....and then demand larger salaries and other incentives.

Resolution:

How about we get this new board to agree to a salary freeze.....where total salaries and stock options continue at the current levels.....where the cost to release the current board is paid by the replacement board....so there is no cost to the current shareholders.

If I can be guaranteed that we will not suffer the same dilution that NOT shareholders experienced with their new team....then count me in. Otherwise, it's a big no for me.
