Intellectual Licenses for Electronics & Communications

Renewal Agreements
WILN has upcoming renewals with Nokia, RIM and Samsung, which represent an opportunity to relicense at higher rates.
The Nokia renewal is first up in 2011, while RIM and Samsung are expected in the 2013-2014 timeframe. WILN renewed its original 2005 agreement with Cisco in April 2011 without litigation demonstrating that it has grown the relevance of its patent portfolio through acquisitions over the past several years. Below we discuss the Nokia renewal since it is the most near-term catalyst for WILN.
Nokia Agreement
The first Nokia license was signed in December 2006 and totaled $49 million paid in a combination of cash and patents.
The license included upfront cash and a DSL patent portfolio with no ongoing cash payments over the past five years. As a result, Nokia does not currently contribute revenue to WILN, which makes the renewal a significant incremental revenue opportunity for the company.
WILN had only 20 patents in its portfolio at the time of the first Nokia license. Since then, WILN has added over 1,000 wireless patents including many with global coverage as opposed to the limited North America only coverage of the original patents. Management believes this increases the infringement exposure of Nokia to its patents and should lead to a renewal that is much larger than the first license agreement. Applying WILN’s historical royalty rates to Nokia’s phone shipments, weestimate the renewal could conservatively be worth $50-$100 million over the next several years.

Under the terms of the agreement, Nokia receives a fully paid-up license to Wi-LAN’s current patent portfolio. In partial consideration for this license, Nokia will transfer to Wi-LAN patents, both issued and pending, related to telecommunications and asymmetric digital subscriber line (“ADSL”) technologies. These patents have been valued at $34 million, based on a preliminary independent valuation by a large accounting firm. As additional consideration, Nokia will pay approximately $15.2 million (€10 million) immediately to Wi-LAN. Additional details of the agreement must be kept confidential.
