CALGARY, Canada - April 12, 2006 - Wi-LAN Inc. (TSX:WIN) (Wi-LAN or "the Company") today announced that ISS Canada ("ISS") has recommended its clients vote in favour of all five of Wi-LAN Management’s recommendations, including the election of Management’s slate of nominees to the Company's Board of Directors. The Company's Annual and Special Meeting of Shareholders will be held on Thursday April 20 th in Calgary, Alberta. ISS reached this conclusion after speaking to representatives from both Wi-LAN and the dissident group of shareholders.

It was noted in today’s report that:

• three of the five dissident directors were either on the board or in key executive positions prior to the 2005 restructuring;
• reviewing a five year stock chart of the company, it is apparent that the real damage to shareholder value occurred in 2004 when the stock collapsed from $4.17 per share to $1.51 per share, while the dissidents held key positions in the Company;
• the current board has initiated a restructuring of the company in early 2005 and set out a coherent strategy for growth, particularly with respect to releasing the value of the patent portfolio.
