“Shares”), 1,349,089 options to purchase units (the “Units”) comprised of shares and

warrants with a total number of 727,272 underlying warrants to purchase shares, and

10,291,956 warrants to purchase shares (the “Warrants”) representing approximately

17.72% of the outstanding Shares on a partially diluted basis.
