The costs incurred, directly or indirectly, in the organization, preparation and
mailing of this Dissident's information Circular and the solicitation of proxies
by the Concerned Shareholders has initially been borne by Gilby Len
Hastman, Darcy Kim Hastman, Nora Rose, Sandra Mottus, Peter Boot,
Mervyn Pidherney, Bill Horton, Dave Eshpeter, Rory Blackwell, Joseph R.
White, Ken Burant, Leonard Hastman and Alan Heffren (collectively, the
"Dissident Shareholders"). The Concerned Shareholders may request
additional funds from the Dissident Shareholders and other supportive
shareholders of the Company to assist in financing this solicitation and the
activities of the Concerned Shareholders undertaken in connection with this
solicitation. The Concerned Shareholders also intend to seek reimbursement
from the Company of their out of pocket expenses, including any proxy
solicitation expenses and legal fees, incurred in connection with the AGM, if
they are successful in their motions.
