The offer is close, however, it requires a little modification, IMO. If the following couple things were changed from this sentence, I think the offer would be accepted, no questions
(One of the proposals made by management prior to the Meeting that the Hastman brothers join the president and the secretary of the Company on the board with a fifth director to be chosen by Darcy and Gilby Hastman from the three independents recommended by management.)
- Why would they join the president & secretary? Did they not have the least amount of votes for the white group? So, would it not make more sense to let them pick any two, of the top three voted candidates from the white side. Or, The top two voted candidates!
- Then, they could pick one of the three from their green group. Or, whoever had the most votes from the green.
- That would then give you 5 directors, and to me this seems very fair. IMO, this would get passed.
