FYI... my calculations to answer my question...

As per Kerrs option agreement with SOR, SGX was issued 180k shares of SOR with an option to purchase 500k shares of SOR (for $500k) as part of the option agreement. Therefore, total SGX position in LRU-SOR amalgamated company, assuming SGX exercises right to purchase additional 500k, would be 680k shares of SOR. Using 3.7362 conversion rate as found in NRs... SGX would have just more than 2.5 million shares of LRU-SOR amalgamated company. There would only be just under 20M shares of this new company... Therefore, SGX would own 2.5M/20M or ~13% of the new company.
As I have also said before... SGX would also be operator responsible for all prospecting, exploration, development and mining operations, receive 15% exploration expenditures as management fee, AND will have a “Back-in Option” which will allow Sage to maintain operating and ownership control of the Kerrs property.
