If they were to vote in favor of a buyout in which they were among the buyers, they would have a conflict of interest as directors. Likely would need an independent committee of the board to approve, which should include an arms-lengthy evaluation of the proposed buyout. Again, under that scenario, it doesn't make sense to me - when they already have the super voting shares - to continue to increase their orindary equity holdings...
