I have a few related questions that I'm hoping that someone here may be able to answer. Tracy, you are welcome to answer this as well if you are willing and able.
1) What is the legal requirement for holding shareholder meetings?
2) Why has one not been held for so long?
3) Is this something that the SEC monitors on its own to ensure compliance, or does it need to be brought to their attention if a company is not compliant?
4) What is the penalty if not in compliance? Obviously, shareholders would not want a financial penalty, but could it be as simple as ordering a shareholder election?
