Firstly, you can't go the market directly to take down the roughly 7 million shares required to equate to just one unit ($3,000.00), given the average daily volume over the last month of around 3 million shares. Now, one unit is just for one person. Multiply that by 10s or scores of participants, and the shares are just not in the market. Therefore, if you want a lot of shares, you must go to the private offering.

Then, too, you benefit by getting warrants, which I think at this point make the markup on PP shares a wash, at least in my opinion.
