Oxford Media to Acquire Innovative Media Solutions

2/28/06 - Oxford Media, Inc. (OTC Bulletin Board: OXMI), a secure digital communication and technology company, announced it has signed a letter of intent to acquire privately-held Innovative Media Solutions, Inc. (``IMS``), a provider of portable entertainment, content, data management and wireless connectivity solutions for the in-flight entertainment (IFE) space. IMS also has a robust professional services business providing full life cycle engineering solutions in the avionics, military and connectivity markets.

On a preliminary unaudited basis, IMS had annual revenues of approximately $10 million for the year ended December 31, 2005. IMS customers and partners include American Airlines, Rockwell Collins, Boeing, Virgin America and Thales. Following the completion of the acquisition, IMS founder and Chairman, Joseph Renton, will be named President and Chief Operating Officer of Oxford Media.

Commenting on the acquisition, Lew Jaffe, Oxford Media`s CEO, stated, ``The acquisition of IMS fits perfectly into our vision of building a uniquely capable media company with emphasis on delivering content to a wide range of captive audiences, including consumers in hotels and airplanes using multiple wireless modalities including WiMAX. With IMS, we will now have a very strong presence in the IFE space where IMS provides portable entertainment systems, content management solutions, wireless connectivity devices and data management services. There is significant convergence between the IMS proprietary (content delivery infrastructure, secure wireless aircraft connectivity, secure data loading) technologies and those used in our Hotel Entertainment System, and we expect to leverage the benefits going forward, not only within our current markets, but also to expand to new markets.``

Under the terms of the agreement, Oxford Media will acquire 100% of IMS in exchange for a combination of cash and shares of Oxford Media common stock totaling approximately $10,000,000. IMS stockholders could receive additional consideration of up to $4,900,000 in a combination of cash and shares of Oxford Media common stock depending upon the future operating results of IMS.

The closing is expected to occur on or about March 31, 2006 and is subject to the completion of due diligence and the execution of definitive agreements. IMS` operations will be consolidated and integrated within Oxford Media`s corporate offices in Irvine, CA.

IMS is the leading IFE provider of wireless connectivity, portable entertainment and content solutions including the Terminal Data Loader, Portable Entertainment Appliance (PEA) Systems and Digital Prizzm.
