I have never seen that kind of voting detail or the outcome as I think the 8k implies.

As to the BOD, Fred of course has stock from various options, also Eric from purchasing shares to help keep the company solvent. The other two board members have no shares, except Renee bought some options and turned around and sold them immediately.
