From APS/Wencor`s view, EDIG is indeed the OEM. Build the things to our specs, we give you money. Are you thinking of the cases? They could even contract EDIG to fit the devices with desired cases (with who-ever`s name on `em), or just have `em built sans cases and Wencor install `em.

You don`t license technology from your customer; they already own the rights. They are the ones selling to others that don`t have the rights to their IP. And again, the value of those rights would simply be included in the sales price to APS/Wencor`s customer.

Man, it seems to me you guys are trying to over-complicate things!

And for FL-Barrister - to further answer your original question, and reflecting on my reply:

Actually, if there is an agreement (not licensing) in place (e.g., Teaming Agreement) that doesn`t expire before year end, I`d bet that the comment from Brent (contemplated default) would be be sufficient to enable EDIG to terminate the contract in a court of law.

Sorry if I sound condescending in these replies....it`s not intended - just my way of explaining things I think I know most effectively.
