Thanks Upchuck. I was wondering about that.... But aren`t those earmarked shares there as collateral should EDIG fail to make timely payments? And with a sale (to Wencor) of even 100M shares, couldn`t EDIG pay off all such debt?

I fear you are correct though, those shares may be ``committed``. Even then, it`s all just paper (contracts) which can be easily changed by consenting adults. So those shares may be ``available`` with some manuevering (pay-offs). Wencor could just buy the paper (heck, I suspect they were willing to pay $.33/share awhile back - they could beat the conversion price, though looking at today`s PPS, may not have to pay that much).

This all feeds my little fire to a degree. The company REALLY NEEDS retail investor votes to offset ``friendly investor`` votes, as I suspect that the ``friendly investors`` might perceive that they have less to gain if Wencor gets in there (and dilution takes place on a large scale).

One thought on the ``result`` if my proposition is correct, in very simple terms: EDIG gets elimination of a tremendous amount of risk, Wencor gets some degree of control. This outcome just has to be VERY desireable to both entities.

BTW, I`m voting ``yes``.

And I KNOW nuttin` more than my own opinions!
