ANNUAL GENERAL MEETING OF STOCKHOLDERS

(SAN DIEGO, CA. - June 16, 2005)—e.Digital Corporation (OTCBB: EDIG), a leading innovator of proprietary secure digital technology platforms announced today that its Annual General Meeting of Stockholders has been scheduled for Thursday, August 4, 2005 at 2:00 p.m. Pacific Time, subject to the timely submission and approval of the company’s proxy filing with the Securities and Exchange Commission (SEC). The meeting is scheduled to take place in the building housing the company’s corporate offices in San Diego (13114 Evening Creek Drive South). e.Digital is making arrangements to provide a live audio webcast of the meeting. Details of the webcast will be announced before the meeting.

e.Digital is scheduled to file both its Form 10K (for the period ended March 31, 2005), and its proxy, this month with the SEC.
