Your key line to me is "Therefore, the original Zenith shareholders ( from SPINCO) will own stock in both companies."
So if I/we end up owning shares directly and independently in each company - RPS and Zenith Epigenetics - I will be very happy even with dilution. I'll be happy because if Zenith Epigenetics goes to a market such as NASDAQ to raise money my shares will have liquidity. Also, I will retain my shares and potential income over the long run with shares in RPS.
This is ideal.
If on the other hand I just end up with shares in Zenith Capital which in turn owns RPS and Zenith Epigenetics then my hands are tied. Zenith Capital may or may not choose to reward it's shareholders OR to retain income within Zenith Capital to fund future activities and investments.
If this is just a name change then I suspect that we may just own shares in Zenith Capital.
I've been a confused pest on this issue but we'll find out on Jan 7th I hope.
