How shocking to hear that AE would pull this kind of stunt and extend the voting AFTER the voting booth was closed.  What is concerning to me is that Discern mentions that Aubrey has within his reach the contact list of shareholders who own large quantities of shares.  Who is to say that he wouldnt contact them and offer them something sweet if they change their vote?  By extending this vote, is this not illegal???  Whats next? ... extending the vote until Monday?  This dishonest act resonates with me to Donald Trump's famous line to "draining the swamp."  AE and his buddies will attempt to do anything to hold on to their power, illegal or otherwise.  

I cant wait to find out what transpires tomorrow at this meeting.  I hope for a full disclosure from our ZEN forward team and a statement from AE.

Dissenter groups rarely win votes against management. Everything is stacked against them. First, they don’t have access to the inner workings of the company that is hidden behind NDA’s and insider information. Secondly, they don’t have the relationships that have been cultivated over years and the database of contact information of investors. Thirdly, they don’t have influence over the brokerage firms who have been responsible raising money and have gained shares and power over large voting blocks through private placement. Fourthly, management normally has a huge head start as they have credited themselves with shares through bonuses and stock options whether their performance is good or not. Fifthly, management has access to paid staff who are working full time who can support them. Sixthly, management gets to set the rules about the timing of the vote, the agenda of the meeting and they have more access to the results of the vote. Finally, human behaviour is such that voting to make a change can be very difficult. We often prefer to “dance with the devil we know”. Furthermore, it is very difficult for a dissident group to gain the trust of other shareholders and communicate that their actions aren’t a power grab.

For these reasons, dissenters rarely win proxy votes against management and this was the uphill battle we faced as ZEN FORWARD. Putting numbers to the obstacles, management had about a 14M vote head start before the proxy was even launched because this is the number of shares that management and their immediate family and friends own along with the brokerages that have participated in private placements who don’t want their position of power displaced. This head start represents almost 25% of outstanding votes. For ZEN FORWARD it is like running a marathon against management and they get to start at the half way mark (remember 50% wins the race).

Yet, here we sit 36 hours after the voting deadline and we find out that management has extended the voting deadline until tomorrow. They are obviously losing, otherwise this extension wouldn’t be necessary.

So why did ZEN forward win? For a few reasons. First we have demonstrated a team work that hasn’t existed in ZEN leadership before. We have worked harder in the last six weeks than management has ever worked. But, the main reason we have won is that this proxy vote is a referendum on the current performance of ZEN management.

Others have already pointed out the truth of management’s decisions, but as I am flying from BC so I can attend the meeting tomorrow, I have time to weigh in as well.

All I see from this decision to extend the deadline is a management that continues to demonstrate the same qualities that have forced ZEN FORWARD to emerge and for shareholders to support us. This last day is only a microcosm of the leadership that ZEN management has shown over the last three years. First, they continue to disrespect shareholders by not listening to their clear requests. Secondly, they don’t follow the rules or guidelines that they set for themselves and choose to not be accountable for their actions or words. Thirdly, they are more concerned about their own power and paycheck than the future of Zen for all shareholders. 

I believe this extension and management’s actions boils down to integrity. Integrity will be displayed tonight after a hard fought battle where two evenly matched teams lay everything on the ice in a seven game series. When the final whistle blows both sides will accept the result, shake hands, look into the opponent’s eyes and respect the effort of the competition. When Winnipeg wins (I hope), no team gets a do-over. No team gets to add another period. Lay it all out on the ice and accept the result showing pride in your effort and integrity for the game and the heritage in which we have.

Extending the deadline only confirms the real values of our management. They are in leadership for their own interests. When ZEN Forward wins tomorrow, all shareholders will win.  

When ZEN FORWARD wins let us remember the last years we have experienced as shareholders and ensure that our next and future management leads in a manner that reflects the true value of sportsmanship and teamwork. We want leadership that demonstrates integrity; that respects shareholders and has a greater vision for ZEN so that all stakeholders win.
