The initial offer will most certainly be based on the present sp. It seems to have been a long standing tradition that offers are made based on the sp plus premium. One would certainly hope that a final offer would approach the reality of a stocks true value.....but we have seen the opposite of that more times than not. Will it happen to ZEN? Like many have said, ZEN presently appears to be in an enviable position regarding outstanding shares and, allegedly, the strong hands that hold them. Having said that, it won't stop anyone who wants it using any and every angle they can invent to get it at a bargain. I think the worst thing to assume is that it can't happen, though most certainly most want to believe that it can't. Honestly, I'm expecting it to garner a good price but I will never let my guard down and assume that it is a given. ZEN is stil one of the tastiest opportunities but always with a risk.
