ACQUISITION OF SECURITIES OF HYDREIGHT TECHNOLOGIES INC. (PERIHELION CAPITAL LTD.)

Victory Square Technologies Inc. has acquired ownership and direction or control over 27,896,825 common shares of Hydreight Technologies Inc. (formerly Perihelion Capital Ltd.) at a deemed issued price of 63 cents per common share in connection with the company's recently completed reverse-takeover transaction pursuant to a merger agreement dated effective July 12, 2022, as amended, among the company, Victory Square, IV Hydreight Inc., 1362795 B.C. Ltd. and 1203500 B.C. Ltd., a wholly owned subsidiary of the company. The transaction constitutes the qualifying transaction (as such term is defined in the TSX Venture Exchange Corporate Finance Policies, Policy 2.4 -- Capital Pool Companies) of the company.

As a result of the transaction, Victory Square has acquired ownership and direction or control over 27,896,825 common shares representing 73.72 per cent of the deemed outstanding common shares of the company on a non-diluted basis. Prior to the closing of the transaction, Victory Square held nil securities of the company.

Victory Square acquired the common shares in connection with the transaction and Victory Square may, depending on market and other conditions, increase or decrease its ownership of the common shares or other securities of the company whether in the open market, by privately negotiated agreement or otherwise.
