MOU expires 4-16-17 or sooner if the definitive agreement is finalized

Displays(Unxl) to sublicense to GIS the tech to manufacture X Touch for a period of 3 years

GIS may do such manufacturing for sale to third parties

GIS to put up $6 million within 30 days of signing of definitive agreement

Unxl to receive 20% royalties on the manufacturing cost of sensors sold to third parties by GIS

Unxl to receive 30% royalties on the sales price of the sensors sold to third parties by GIS

No royalties shall be paid on the first 150,000 units manufactured and sold in 2017

No royalties shall be paid on the first 300,000 units manufactured and sold in 2018

Unxl shall lease a limited production line in it's Colorado Springs facility to GIS--lease can be extended by GIS at same cost

The lease will continue until the earlier of GIS establishing a separate facility and equipment or agreement expiration

Unxl shall purchase from GIS at least 1m units in 2017, 1.5 m units in 2018, and 2m units in 2019 at 20% above cost

Unxl shall not receive any royalties from GIS for units manufactured by GIS and purchased by Unxl
