Message: Interinvest INCREASED Its Tyhee Holdings by 5.8M Shares Since July.

Although Dave's traveling today, he was kind enough to clear up apparent misunderstandings regarding Interinvest's holdings of Tyhee shares since this July.

To paraphrase, Dave said,

Interinvest has increased its holdings by approximately 6 million in US purchases and down 200k in Canada, so up a net 5.8 million shares since July 2011.

In the July circular it shows the following:

Shareholder Name Number of Shares Held Percentage of Issued Shares

Interinvest Corporation 40,886,000(1) 14.1609%

Note:

(1) 14,435,500 shares and warrants to purchase; 4,250,000 which are exercisable within the next 60 days are held by Interinvest Canada.

26,450,500 shares and warrants to purchase; 4,000,000 shares which are exercisable within the next 60 days are held by Interinvest US.

This information was obtained from SEDI.

There might be some confusion, but it states in the note: 14,435,500 shares and warrants to purchase; 4,250,000 of which are exercisable within the next 60 days…. This means Interinvest Canada holds 10,185,000 shares PLUS 4,250,000 shares from warrants that are exercisable. This is the way the BCSC counts shares of insiders. This is known as the partially diluted basis and is used by securities commissions to determine insider’s positions. Warrants MUST be counted as shares. The same calculations hold true for Interinvest USA which would work out to 22,450,500 shares plus warrants to purchase; 4,000,000 of which are exercisable within the next 60 days.

So, since the circular was released, Interinvest’s share holdings have:

Company

July, 2011

November, 2011

Change

IUSA

22,450,000

28,348,000

5,898,000

ICan

10,185,000

9,985,500

-200,000

The warrants are unchanged and are in addition to this.

Interinvest is ahead approximately 6 million in US purchases and down 200k in Canada, so up a net 5.8 million shares.
