Message: material information

Good afternoon, everyone

Great posts today. I've come back to Agoracom after following St++++++se for a while. I think I went over to that site at some point during the FWR drama. I recall there were some problems posting on Agoracom. I'm finding now that the discussion here is much more reasoned and well thought out.

I don't know a lot about securities law, but I have been left wondering over the past weeks, and harkening back to FWR, whether what we are seeing contravenes any regulations, or is this just the way business is conducted. A post yesterday prompted me to call the OSC today, and I had a very interesting conversation.

Clearly the person I spoke to was not at liberty to divulge a lot of details, but I was left with the clear understanding that the CLF, KWG, SPQ dance is on their radar screen. I asked particularly about the speculation that "material information" may be being withheld from shareholders, information that would allow us to make a more fully informed decision regarding values, the appropriateness of offers, and the benefits of merger. I came away from that conversation very much reassured that the OSC is awake and watching.

Got "the call" from Cliff's people. Told them I won't consider Cliff's offer till I see a valuation. That doesn't seem too much to ask.

I would not be at all surprised if, some time in the future, it comes to light that there have been laws broken. If so, we, the shareholders of record, might find ourselves hauling Cliff's into a courtroom. That would be poetic justice.

In the meantime, the drama continues. Can't find this stuff in Hollywood.

Regards to all,

Oscar's Dad
